Terms and Conditions
These Terms and Conditions (“Terms”) apply between 21st Century AV Ltd (“we”, “us”, “our”) and you, the purchaser
acting wholly in the course of business (“you”, “your”).
By using this Website or placing an order, you confirm that:
- You are acting wholly for business purposes and not as a consumer.
- You have authority to bind the business you represent.
- You acknowledge that consumer protection legislation (including the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013) does not apply.
If you do not agree to these Terms, you must not use this Website or place an order.
1. Definitions
- Account – Login credentials and contact details associated with your business account.
- Carrier – Any third-party delivery or logistics provider.
- Goods – Products supplied by us.
- Website – www.meetingstore.co.uk and associated subdomains.
- Order – Your offer to purchase Goods from us.
- Contract – The agreement formed in accordance with clause 2.
2. Orders and Contract Formation
- Nothing on this Website constitutes a binding offer.
- Your Order constitutes an offer to purchase Goods.
- A Contract is formed only when we issue written acceptance or dispatch confirmation.
- We reserve the right to reject any Order at our discretion.
3. Pricing and Payment
- All prices are in GBP and exclusive of VAT unless stated otherwise.
- Prices may change at any time prior to Contract formation.
- Payment terms are as agreed in writing or stated on the invoice.

Late payments may accrue interest at 2% above the Bank of England base rate,
agreed as a contractual alternative to statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998,
together with reasonable recovery costs. - We may withhold or suspend delivery until payment is received in full.
4. Delivery, Risk, and Title
- Delivery dates are estimates only unless agreed in writing.
- Risk in the Goods passes to you upon delivery to the Carrier.
- Title to the Goods remains with us until payment in full has been received.
5. Inspection and Acceptance
- You must inspect the Goods within a reasonable time following delivery.

Any shortages, visible damage, or defects reasonably discoverable on inspection must be notified to us in writing
within 5 working days of delivery. - Latent defects must be notified within a reasonable time of discovery.
- Goods are deemed accepted once used, installed, resold, or incorporated into a project.
6. Returns and Cancellations
- Returns are accepted only with our prior written authorisation.
- Returned Goods must be unused, in original packaging, and in resalable condition.

A restocking fee of up to 20% may apply, representing a genuine pre-estimate of handling,
testing, and administrative costs. - Special-order, customised, configured, or non-stock Goods are non-returnable.
7. Warranties
- Goods are supplied with the manufacturer’s warranty only.

Subject to clause 9, implied terms as to description, satisfactory quality, and fitness for purpose
are limited to the extent permitted by law. - Warranty claims are handled in accordance with the manufacturer’s warranty terms.
8. Errors and Omissions
- We take reasonable care to ensure accuracy, but errors or omissions may occur.
- Product images, descriptions, and specifications are illustrative and may change without notice.
- We may correct errors or cancel/amend orders prior to dispatch after notification.
- You do not rely on representations not expressly set out in the Contract.
- Our liability for errors or omissions is limited to correction, replacement, or refund.
9. Liability
- Nothing limits liability for death, personal injury, fraud, or liabilities that cannot be excluded by law.
- Our total liability shall not exceed the price paid for the Goods giving rise to the claim.
- We are not liable for indirect or consequential losses, including loss of profit or data.
10. Intellectual Property
- All Website content is protected by intellectual property rights.
- No content may be copied or reused without written consent.
11. Force Majeure
- We are not liable for failure or delay caused by events beyond our reasonable control.
12. Termination
- We may suspend or terminate Accounts or Contracts for breach or non-payment.
- Termination does not affect accrued rights.
13. Governing Law and Jurisdiction
- These Terms are governed by the laws of England and Wales.
- The courts of England and Wales have exclusive jurisdiction.
